Interpretation and Definitions

Interpretation

The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

Definitions

For the purposes of these Terms and Conditions:

  • Affiliate means an entity that controls, is controlled by or is under common control with a party, where “control” means ownership of 50% or more of the shares, equity interest or other securities entitled to vote for election of directors or other managing authority.

  • Country refers to: Vietnam.

  • FAR QR (referred to as “FAR QR”, “The Platform”, or “The Service” in this Agreement) refers to the independent platform and the individual developer operating the website. Note: FAR QR is operated as an individual freelancer business, not a registered corporation.

  • Device means any device that can access the Service such as a computer, a cellphone or a digital tablet.

  • Service refers to the Website and the services provided therein, including but not limited to Digital Menus, Pricelists, WiFi QR Generator, and custom Branded QR design services.

  • Terms and Conditions (also referred as “Terms”) mean these Terms and Conditions that form the entire agreement between You and FAR QR regarding the use of the Service.

  • Third-party Social Media Service means any services or content (including data, information, products or services) provided by a third-party that may be displayed, included or made available by the Service.

  • Website refers to FAR QR, accessible from https://farqr.com

  • You means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

Language and Automated Translation Disclaimer

The FAR QR Website includes an automated translation feature provided by Google Translate to assist users in understanding the content in various languages. This service is provided for convenience and reference purposes only.

FAR QR does not warrant, promise, or guarantee the accuracy, reliability, or correctness of any translations made from the English version into any other language. Due to the limitations of automated translation software, some content (such as images, videos, Flash, or PDF files) may not be translated accurately or may remain in the English language.

The official text is the English version of the Website. Any discrepancies or differences created in the translation are not binding and have no legal effect for compliance or enforcement purposes. If any questions arise related to the accuracy of the information contained in the translated Website, please refer to the English version of the Website, which is the official version.

FAR QR expressly disclaims any liability for any inaccuracies, errors, or omissions in the translation or for any damages, losses, or misunderstandings that may result from the use of the Google Translate feature. Users rely on the translated content at their own risk.

Acknowledgment

These are the Terms and Conditions governing the use of this Service and the agreement that operates between You and FAR QR. These Terms and Conditions set out the rights and obligations of all users regarding the use of the Service.

Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms and Conditions. These Terms and Conditions apply to all visitors, users and others who access or use the Service.

By accessing or using the Service You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms and Conditions then You may not access the Service.

You represent that you are over the age of 18. FAR QR does not permit those under 18 to use the Service.

User Content and Responsibility

Content Ownership

You retain all rights and ownership of the content, images, logos, prices, and text (“User Content”) that You upload, post, or display on or through the Service.

User Responsibility

By uploading User Content, You represent and warrant that:

  1. You have the lawful right to use, display, and distribute such content.
  2. The content is accurate and does not mislead consumers (e.g., accurate pricing on menus).
  3. FAR QR is not responsible for any content posted by You. You bear full legal responsibility for any claims, damages, or lawsuits arising from the content You publish via FAR QR codes or Digital Menus.

Prohibited Uses

You agree not to use the Service for any unlawful purpose or any purpose prohibited under this clause. You agree not to use the Service to generate QR codes or host content that:

  1. Illegal Activity: Promotes illegal acts, violates any applicable local, state, national, or international law.
  2. Malicious Content: Contains viruses, malware, phishing links, or any code of a destructive nature.
  3. Adult/Offensive Content: Contains pornography, sexually explicit material, hate speech, or violent content.
  4. Gambling: Promotes online gambling, betting, or lottery services.
  5. Scams: Is used for fraudulent activities, scams, or misleading marketing.

Violation of these prohibitions will result in the immediate termination of Your account and deletion of Your QR codes without prior notice and without refund.

Subscriptions, Payments, and Refunds

Free Trial

A 7-day free trial is provided for Premium features. During this period, full access is granted to test the functionality of the Service (creating menus, managing QR codes, etc.) to ensure it meets specific requirements.

No Refund Policy

Because a comprehensive free trial period is offered for evaluation, all payments made via PayPal are final and non-refundable. By upgrading to a paid plan or purchasing a Branded QR, You acknowledge that the Service has been successfully tested and meets Your satisfaction.

Payment and Taxes

  • Individual Business Status: FAR QR operates as an individual freelancer business in Vietnam.
  • No VAT Invoices: Value Added Tax (VAT) invoices or official corporate tax receipts cannot be issued. The transaction receipt provided by PayPal serves as the only proof of payment.
  • Payment Method: All transactions are processed securely through PayPal. Credit card or banking information is not stored on FAR QR servers.

Branded QR Services

For “Branded QR” services (Pay-per-product): You are responsible for providing the correct URL and high-quality Logo files. By submitting the URL and Logo files, You explicitly acknowledge and agree to the Branded QR design templates currently available on FAR QR. Once the payment is made and the QR code is delivered via email, the service is considered fulfilled.

Availability and Limitation of Liability

Third-Party Infrastructure (Cloudflare)

The Service relies on third-party infrastructure, specifically Cloudflare, to ensure security, speed, and availability globally. By using the Service, You acknowledge and agree that:

  1. No Guarantee of Uptime: While high availability is the goal, 100% uptime cannot be guaranteed.
  2. Force Majeure: Disruptions caused by Cloudflare outages, global internet routing issues, or third-party server failures are considered “Force Majeure” events beyond the control of FAR QR.
  3. Exclusion of Liability for Business Loss: FAR QR shall not be liable for any loss of business, loss of revenue, loss of customers, or damage to reputation caused by the temporary unavailability of the Service (e.g., if customers cannot scan a menu due to a server outage).

General Limitation

To the maximum extent permitted by applicable law, in no event shall FAR QR be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Service), even if FAR QR has been advised of the possibility of such damages.

By upgrading to a paid plan, You acknowledge that the 7-day free trial provided a sufficient opportunity to evaluate the Service. Therefore, FAR QR shall not be liable for any refunds or monetary compensation for service interruptions caused by unintended technical issues or objective factors beyond reasonable control. Your exclusive remedy for any dissatisfaction is to discontinue the use of the Service.

The Service may contain links to third-party web sites or services that are not owned or controlled by FAR QR.

FAR QR has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that FAR QR shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such web sites or services.

Termination

Access may be terminated or suspended immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms and Conditions.

Upon termination, Your right to use the Service will cease immediately, and any active QR codes may be deactivated.

”AS IS” and “AS AVAILABLE” Disclaimer

The Service is provided to You “AS IS” and “AS AVAILABLE” and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, FAR QR expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the Service.

Without limitation to the foregoing, FAR QR provides no warranty or undertaking, and makes no representation of any kind that the Service will meet Your requirements, achieve any intended results, operate without interruption, meet any performance or reliability standards or be error free.

Governing Law

The laws of Vietnam, excluding its conflicts of law rules, shall govern this Terms and Your use of the Service. Your use of the Application may also be subject to other local, state, national, or international laws.

Disputes Resolution

If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting FAR QR via the supported contact channels.

You represent and warrant that (i) You are not located in a country that is subject to the United States government embargo, or that has been designated by the United States government as a “terrorist supporting” country, and (ii) You are not listed on any United States government list of prohibited or restricted parties.

Severability and Waiver

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Waiver

Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not effect a party’s ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute a waiver of any subsequent breach.

Changes to These Terms and Conditions

FAR QR reserves the right, at its sole discretion, to modify or replace these Terms at any time. By continuing to access or use the Service after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, in whole or in part, please stop using the website and the Service.

Service Level Agreement (SLA): FAR QR operates as an independently run platform. While the aim is to respond to support inquiries within 24 to 48 business hours, please acknowledge that response times may be extended due to high inquiry volumes, technical difficulties, or force majeure events beyond reasonable control.
